Yes it'll work. Worst case scenario is that you will need to do a bios update. Overheat should not be a problem if you are using the intel reference cooler wich is provided with the cpu.

Okay your Processor is not supported by your System Board. I will take some time and look to see what would be a good upgrade, but it may take a few days.

what type of motherboard and as for the 800/533 that sounds like memory speed not processor, you will also need to know the pin count on your mobo, to match your processor for example 775 or 1366,1166, looks like the processor you want to install is a 775, but i would make sure your mobo has the same pin count, take the part # from your mobo and manufacture and get back to me if you want :)

I would like to upgrade this processor, what do Intel 2140

I would recommend upgrading to something with quad-cores and something that will fit into the LGA775 socket.

You can go with a Core i7 but that would require you to upgrade your mobo and your RAM. Costing you about 400 more dollars.

So I would recommend a Core 2 Quad Q8300 from intel.

I have a Question for upgrading my machine. I havent had the chance to dabble with Dual-Processors.... This will be my first time. Q: Is it possible to utilize a Xeon 2.66GHz x3330 Processor and a Pentium...

You can only mix the same family processors with different stepping and speed. Pentium D is not in the same family as a Xeon. So no, you can not. For as long as the processors are in the same family, you can mix dual core with quad core and even different speed.
