Check that the pc has sp3 installed on the xp you are using or sp2. sp1 will not work. also you need some other updates but cannot remember there names been a long time since i was on an xp .

Something is not closing on exit. Try running in safe mode, then shut down. If it shuts down then something is loading and present in the taskbar which isnt closing down.
