Factory alarms rarely false alert, maybe someone did tamper with the car and ran off before you saw him. The one thing that will often trip alarms is a bad battery in the car, have it tested. Your car may have an add-on alarm in which case anything goofy can happen. It's odd that you had to hit the panic button to shut the alarm off, but if it functions normally otherwise it's unlikely to need a new battery. Is it at all possible that you hit the panic button and that caused the alarm to sound? If it was in your purse or pocket maybe it got pressed in which case it might be normal for you to have to hit panic again to turn it off.
The System Wizard button helps the remote store its settings inside the receiver as a backup, and then also backs up the receiver settings inside the remote, in case either needs to be replaced. It works best when you start the wizard while the remote is set down on a table or sturdy surface close to the receiver. If the remote won't leave the wizard, make sure you've exited all on screen menus (use the keys on the receiver) then remove the batteries. Replace the batteries after a short wait, but don't wait more than 5 minutes. After doing this, hit Sat, and the remote should restart.
Try this: disconnect the player from the computer, turn it off, hold in the volume + button, and reconnect the player to the computer while holding the volume + button in. Keep holding the volume + button for an additional 5-50 seconds. Windows should eventually go into recovery mode and revive the player- it will pop up a window that says Found New Hardware Wizard.

This happens to me every other time I connect to charge the battery. I remove the screws on the back and remove and reinstall the battery then back to normal but still without a full charge.
