I am not sure if the ECM would be directly compatable, but both a 1997 and 2002 used the Series II 3.8 You could only go off of the service numbers on the ECM itself.
PWR WDO - 30amp circuit breaker , DRV -MDL 10amp fuse - both are located in the rear fuse box .

Under the left side of the rear passenger compartment seat
passenger side Under dash on the side kick pad with 3 connector
To replace it .. unplug battery then remove connector at ECM on old ecm remove two screw and the plate remove both memory and install them in the new ECM....plug 3 connectors and battery cable
