You can't. The Z612 uses SD cards. Your 4GB card is actually an SDHC (Secure Digital High Capacity) card and is incompatible with SD devices.

For SD cards (2GB and smaller), you'll find the Format operation in the Setup menu. Press the Menu button, then use up/down to select the wrench, then press OK.

Your camera was designed before 4GB SDHC format cards came out. Sorry but your camera can only use 2GB or less standard SD cards. These are relatively inexpensive these days, and can be found on Amazon if your local store no longer carries them.

HOW do I format SD cards for Easyshare Z612? Can I use a "PNY 4GB SDHC card?"

You can Format by entering the camera's menu and find the format section. Click Here and see Pages 36-39 for detailed instructions on formatting your SD Card. Also your camera is not capable of reading the High Capacity SD cards (SDHC) so you will have to stick to the SD cards (2gb or smaller)

Just bought a Kodak 4gb memory card, and camera says it needs to be formated, and I stick the card in and it says it can't be formatted

The Z612 uses MMC and SD cards. Your 4GB card is actually an SDHC card. While it fits into the slot, it is electronically incompatible. You need to use cards 2GB and smaller.

I have not been able to format a scandisk memory card into my Easyshare kodak camera z612

The problem is that your camera is only compatible with SD cards, not SDHC cards. You bought a larger card for your older camera, not noticing that it was SDHC (or not knowing that it mattered). The new card can't be formatted, not because it or the camera is broken, but because it's not compatible.

Cards up to 2Gb are generally SD.
Cards of 4Gb are generally SDHC.
Cards over 8Gb have to be SDHC.

(There are exceptions. Sometimes, manufacturers make 4Gb SDHC cards but some have errors; they disable half of the chip and sell it as 2Gb, but it's still SDHC. 4Gb cards are almost always SDHC because they're cheaper, but 4Gb SD cards do exist. They are so rare that I've even seen a guru on this site claim they don't. I did own one once, but it was very expensive and turned out to be so unreliable that I had to return it. I don't recommend looking for one, because of the problems.)

Your solution is to go find a 2Gb card, and be extra sure that it doesn't say "SDHC" on it.

When i install team micro sdhc 4gb memory card in kodak easyshare z612 it says format .i select format but it keeps asking to format or cancell

First check make sure the SDHC card is unlocked I'll provide a diagram for that also I just checked your camera's memory capacity and it's only good for a 1 gig SD card which if using an SDHC memory card might go to 1.5 stretch to 2gig maybe but not a 4gig. My first impression is you got to much memory card for the camera. You might be able to go to the Kodak site and download updated firmware to allow the camera to function with the larger card but that's a maybe as well.
Here are the diagrams
