Purchased a new laptop and quick books pro 2009 and tried to restore quick books ver 6.0 in it via a flash drive it comes up that it is password protected

This can indicate a damaged file. Or, on some flash drives you will recieve this message when you try to access the file directly on the drive.
One suggestion, try copying the file from the flash drive to the desktop. Then right click the file on the desktop, and on the properties, make sure it is not set to read only.
