Right click on it and select run as administrator. if that doesn't work.
Remove itunes from add or remove programs, do a search for itunes on your harddrive and delete all folders with itunes or apple on it. there are probably some files in documents and settings folder that need to be removed.
basiclly the itunes and apple software needs to be fully removed and then reinstalled.

This seems to be a known issue that has been experienced by other users. I recommend you try to uninstall the Itune that you installed in your computer. Try to check this website or forum that I found, this could be helpful for you.

I would uninstall and re install itunes. If you follow these articles from start to finish and don't miss a step you should be fine. if that dose not - repost with what happened.
Windows Xp
Windows Vista , 7
Please Follow the steps
Step 1: Launch iTunes and plug in your iPhone.
Step 2: Create a new "playlist" in iTunes. Name it whatever you want-say, "My iPhone Playlist" or something like that.
Step 3: Drag the songs you want from your iTunes library to your new playlist-in this case, "My iPhone Playlist"
Step 4: Click on your iPhone and go to the Music tab. "Sync Music" should already be checked. Now click on the button "Selected playlists", then tick off "My iPhone Playlist" (or whatever your playlist is named).
Step 5. Sync your iPhone and when it's done, the songs from "My iPhone Playlist" should now be on your iPhone. If you want to make any changes to your mp3 library on your iPhone, you'll have to modify the songs within your playlist, then re-sync again. Yes, I know it can be a pain.
