This model motherboard was plagued with defective capacitors. Look at the three capacitors below the AGP slot. If they have a green colored sheath around them, you'll probably notice that they're bulging out at their tops due to a manufacturing defect. In fact, you'll notice that ALL of the capacitors with a green colored sheath around them are bulging out....the motherboard is basically dead. If the three capacitors below the AGP slot are wrapped in a black colored sheath the voltage regulator between the CPU FSB jumpers and the north bridge chipset is probably fried. Either way, unless you're Really handy with a soldering iron you're probably better off buying a new computer.

You may want to set all your drives (hard drives and DVD-R) to cable select setting. Sometimes this helps because it will enable Windows to designate drive sequence for you. Just a thought.
Bootup,hardwere,,or some problem....
Sudden shut downs are often heat related. Modern motherboards have a sensor under the CPU that cuts off the power when the temperature gets above a certain point (sometimes this point can be set in the BIOS). Usually the CPU fan will spin up very fast trying to cool off the processor just before it shuts down. Often you can feel the heatsink being very hot as well.
I suggest you check your vent holes for clogging (hair, dust, etc.) to make sure you are getting good airflow. Next, peek into the CPU fan to see if there is dust accumulated underneath blocking the heatsink from expelling heat (the dust layer acts like a blanket and keeps the heat in). Finally, if you are technically inclined you can try removing the heatsink/CPU fan and reapply thermal paste to the processor.

GO INTO THE BIOS AT BOOT AND DISABLE/TURN OFF ONBOARD VIDEO .

Check to see if your ram is seated properly, that is make sure the ram stick is in all the way down. Your problem is your system can't find RAM

Change your power supply unit, it is definitely defective. You may open the Psupply case and you should be able to see come blown components, like capacitors.
Bios beep
Looks like a problem with the RAM modules. Try reseating /swapping them, or change them altogether.

How many beeps? There should be a sequence of beeps. Are they all the same, or are some short beeps and some long? Please clarify so I may help you further.

Hi Eagleboy,
the odds of two boards having the same problem are something way out there. The only constant is your case, memory & hard drive.
To answer your first question about the CPU being luke warm is (very good)! That is what it should be. Please plug the fan back in. (You said -" When I took the CPU out originally I noticed that there was a scorch mark underneath, (is this normal?)". Yes & No. Every CPU should have either thermal grease or a thermal sticker which helps pull the heat from the processor to the heatsink. Over time if the processor was running hot the thermal sticker most likely withered away which left a scorch mark on the heatsink. A thermal sticker (which is much less messy), is not as good as thermal grease. (My opinion).
Since this is a new board, now would be the perfect time to download the hard drive's utility tools. Find the name of your hard drive & S/N, go to the Mfg's web site & download their setup tools. If you have two hard drives unplug the data cable for the second drive. Create a bootable floppy disk or bootable CD & run the Mfg's diagnoses on the drive. Think back, you mentioned you had formatted your hard drive & the system ran fine. (For awhile).
This seems to be the single connection between the two boards.
It's always suggested to do a fresh install of windows when a new motherboard is installed. So check your hard drive Eagleboy, check it twice & setup once.

Vga problem
There is a problem with your VGA internaly, try to buy a VGA card to replace it. And your mouse not might work beacuse of your BIOS
(Basic Input Output System).
