4 bolts top, 4 bolts bottom, 3 nuts connecting down pipe. 1 exhaust manifold gasket. Spray with PB, soak, remove drop in new exhaust manifold and gasket

Yes it has a battery, two possibilities a rechargeable one, or a 2032. if you have the full black plastic cased fob it is a rechargeable battery. (most likely version)
