It sounds like your tranny is nearing the end of its life.Have you ever had it flushed?If it has high miles on it i wouldnt do it.The fact that it wont go into reverse sounds like it is time to replace/rebuild the unit.

The overdrive will only come into use when the transmission module reads the correct revs/ road speed ratio. Switch if off for heavy city traffic driving to improve economy when it moves up and down all the time. No it will not harm the transmission otherwise.

The infamous Exploder transmission. Try a tranny flush and new gasket. More likely it needs a new transmission.

It might be the electronic shift selonoide. Probally the overdrive one. They arent that hard to change but you need to find out which one is which when you take off the tranny pan assumeing your doing it yourself. The part acyually is not that much. First I would check the transmission fluid. It has to be checked while the transmission is warm, vehicle is running and in park on level surface. Sometimes Lucas transmission treatment can stop it too. Car quest has it for $12 a bottle.

I found that the code is set for:

P1740....TCC Solenoid or Overdrive Solenoid performance

which indicates that a rather inexpensive fix is in order, not a complete transmission replacement!! The TCC is the solenoid which controls the locking of the transmission converter so that you get better gas mileage with no "slippage" while at highway speeds, which is normal when the converter is unlocked as you slow down. If it is locked and the solenoid fails to release it the car will stall when you come to a stop since the fluid in the converter fails to act as a clutch and the engine is connected directly to the transmission input shaft. If it never locks then the oil in the transmission will overheat at highway speeds since ther "slippage" will always be present in the converter cauasing frictional heating of the oil.

Whenever you get a quote from a shop ALWAYS get at least two more!!! No matter what the job is, even a muffler replacement get many quotes. Go to a reliable transmission repair shop and ask for their opinion. In my humble opinion the shop that told you that you need a new transmission is just hungry for work - stay away!!!!
