Theoretically, you can't format a more than 32 GB drive with FAT/FAT32 file system. In your case you have to choose the NTFS file system to format your 64 GB USB flash drive.
However, if you really need to format it with FAT32, you got to use the command line or a third party tool.

If it shows, it just need to be formated, what format version are you using NTSF or FAT?? That maybe the cause that is causing it now to format. If it doesn't work, and you can't get it to format, then I think your pen is bad.
May i know what Operating System are you using? Like: WindowsXP, Windows 7, Vista. If its windows operating system, then follow this steps:
1) Insert your Data Traveler 2) Go to your My Computer 3) Look for your Data Traveler from that window 4) Right Click your Data Traveler 5) Look for FORMAT thingy in that dropdown 6) Click Format 7) Choose the File System into Fat32 8) Check the Quick Format
