New edition halo 360 locking up while playing a game whats the problem is it a hardeware issue

If this happens on all games you play then yes it is a hardware issue, probably the system overheating. In that case it is probably still under warranty and you just need to call Microsoft at 1-800-4-My-Xbox and they will replace or repair your system for you for free.
