Are you trying to set up router ?
You can set up your router manually, without the
CD. Make sure that your computer is able to go online
directly through the modem. If your computer is able to go online through the
modem, that means the modem is working fine. You will need to connect the computer to the
router and the modem to the router. open the set up page of the router and change the
settings of the router according to the ISP.

It may be the problem of the version control.you sure you have downloaded.the correct version.
else check the back of the router the model and the version.
and also uninstall the old driver properly and reinstall.
because when your old and new version is in conflict.it doesnt work.

Common issue when running Linksys's wizard. Try downloading the newer version of the wizard from Linksys.com. If that doesn't work, you can also configure the router from the web interface and not use the setup wizard at all. Plug your computer into one of the ethernet ports on the router and go to http://192.168.1.1. Use "admin" for the username and password. Configure away!
Use an Ethernet cable to connect your computer to one of the LAN ports on the router.
Click Start
Click Run
Type CMD and press ENTER.
Type IPCONFIG and press ENTER.
Look for a line of output like:
Default Gateway . . . . . . . . . : 14.64.1.1
Start Internet Explorer.
Type http://14.64.1.1
to connect to the web-server "inside" the router.
Click to run the "network setup wizard"
Later, click to run the "wireless network wizard".
Disconnect the Ethernet cable, and have your computer "view available wireless networks" -- you should now be able to "connect" wirelessly to your router.

Since you're having problem in setting this router up, the best to way to set it up is by doing a mnual configuration and you dont need to use the setup CD that came with it, I'm suggesting you to call the linksys tech support and they will walk you through on the manual setup it will only take about 10 minutes this is the number 800-3267114.
Physical Setup of a LinkSys Router
Each model of LinkSys router will differ slightly, but the general design is similar across all models. Therefore, the setup is similar across all models.
Attach the antennas to the router (if your LinkSys router support wireless)d
Plug the Ethernetcable from your broadband Internet provider into the port labeled "Internet"
Plug another Ethernet cable into one of the available ports
Plug the other end of that same cable into an Ethernet port on your PC
LinkSys Router Configuration
LinkSys routers now ship with a Setup Wizard which is intended to simplfy basic configuration tasks.
We do not recommend the LinkSys Setup Wizard for two reasons:
The Setup Wizard is not significantly easier that the regular configuration menus
If you use the Setup Wizard, you will end up learning two interfaces for your LikSys router instead of just one
Instead, we recommend simply starting your web browser and jumping into the configuration.
Once your web browser is open, go to the URL http://192.168.1.1/. This will take you to a popup box which asks you to enter a username and password. Logging in to a LinkSys Router
The username is either blank or "admin" and the default password is "admin".
Once you are past the login screen, you are able to access (and change) a plethora of configuration options for your router.
Don't be worried by the enormous number and variety of options, your LinkSys router ships with default settings that enable it to work right out of the box in most environments.
From here the configuration options that you choose are largely up to your own personal preference.
If this is a wireless router, we recommend that you consider setting an SSID to identify the router as your own and configuring WEP to encrypt your wireless traffic.

The LINKSYS WRT300N is a standalone device, there are no software/driver needed on your PC for the router to work. However, there is an easy Setup Wizard that is in the CD that normally comes with the unit.
Unfortunately, Linksys did not make the specific Setup Wizard (Version 1.3) for the WRT300N available online. However, if you care to try the Setup Wizard for a WRT54GC, it may downloaded from the LINKSYS ftp site here. I used to have a WRT54G and I did make use of the Setup Wizard for that model. I upgraded to WRT300N. The setup wizard for the old WRT54G worked likewise on the new WRT300N.
Alternately, the WRT300N can still be configured without the CD or the Setup Wizard by logging into the Configuration Page (192.168.1.1). Remember to use LAN interface when setting the router (as shown in the connection diagram) and set your PC to an IP Address of 192.168.1.2, Subnet Mask of 255.255.255.0; Follow on screen instructions and enter settings/configurations manually.
