so let me guess, you didnt ask DELL first.
for a list of processors this motherboard supports.
and the other processor (unnamed) works? (2nd shoe drops)
Didnt upgrade the BIOS first, so it can support a larger list
of qualified Dell Processors?

Dead BIOS is wrong processor, or bad RAM.
assumes good monitor and PSU.
and both fans spin, PSU and CPU.

steps not taken.
1: ask dell first. (dah factor 1, we are not dell)
2: tell Dell what P4, it is (it has a full number on top that you forgot to state.)
3: upgrade bios if dell tells you it does this version of P4, and id does not? then back to P4 store for correct P4 only DELL told you can work.

Update bios

yes you can but newer bios dont have instant audio and instan FM radio anymore..as i remember as long time i use it as media center,and now is NAS..that old barebone..with 250W power suplly..

I want upgrade my CPU from p4 520 to p4 660(2M L2 cache) on dimension 4700. I want to know if that will work on my pc. Right now i am operating on bios A05,and i want to know if i have to upgrade to bios...

For best results, you should run the Dell System Analyzer on your computer:

Updating the BIOS, while not difficult, is not usually recommended unless it will solve a problem. The reason for that is you must follow the instructions provided by the manufacturer exactly or you could render your computer useless.
If the Dell System Analyzer determines that you can upgrade to a P4 660, then go ahead and replace the P4 520. If the P4 660 doesn't work, then the best approach would be to re-install the P4 520, make sure the computer works, then update the BIOS after carefully reading and understanding all the instructions provided by Dell.

You have hit the nail on the head.

Update your BIOS and that should sort the problem out. You can always go into the BIOS and set the clock speed of the processor providing the BIOS utility supports changing the clock speed.

Intel P4 2.66GHz/512/533 is not working on MS9337C+.

#1. Does the CPU fan run if not then you may have a conductivity problem between fan and CPu. Did you use thermal paste or grease?

If fan is running follow directions below from my manual for MS9377C+ mainboard.

Go into the BIOS setup ,go to CPU setup, select proper voltage for you CPU. On Advanced setup page see if the hyperthreading function is revaeled. If so your CPU has this function. Set "Enabled " to test HT CPU function. If this doesn't work try "Disabling" the function. Good luck. I am about to attempt tp upgrade to a Prescott 3.0E which the box says this board supports. Sure hope so . Am running a 1.7 now.

Processor compatibility

looks like you limited to the p4 Prescott, this is a p4 list of the cpu support from asus. I also looked at their bios update page and found no bios improvement. if you can move to the 775 platform ,you can move from p4. otherwise, the p4's are still  good . I had the cpu that is the 2nd one down. 3.2ghz oc'd to 3.8ghz full time with a max of 4.0ghz on air[775 platform] quad-pumped gave me a 1001.3mhz FSB
