Windows 64 bit os is not working probaly it ask driver support for 64 bit

There seems to be some sort of incompatibility issue between your motherboard and the Phenom, or maybe some option is not enabled in the motherboard bios that windows is only sensing half of the GHz, like if the processor is only running 2 cores instead of 4.
About the memory diference, that same problem is because the 64bit difference. Unless you have a 64bit XP you won't see the full 4GB. Windows XP is limited to 3 or 3.5GB of ram it can use, you are showing 2.75 maybe because some video board is integrated in your motherboard and it may be borrowing an extra 0.25GB from the 3GB that are usable under windows XP 32bit OS.
Please comment what motherboard you have, since the cpu alone can't be blamed nor configured.

Thats a prosessor, theres just one driver for that, and still its not a must have.
now if its a motherboard that you need drivers for, now just the processor, go over here and select the right motherboard, you will get the drivers you need.

You will need to find the model of your motherboard. It is usually printed on the board itself. Or you can try to use programs to find the information you need. The you can search for the drivers in the manufacturer's support site.

It was designed for today's systems so the Win7x64 would be the best choice.Problem being,64 bit apps are still lagging in catching up as far as volume. Cost will be the same with either version of 7,they're on the same disk if you buy the full retail version.
You could go cheaper by using XP,the rumors are already out about "Windows 8",it won't be named that.
You need to decide on your OS before you download your drivers.XP and 64 bit Win7 will not be the same.

There are a few things that can cause this.
1. One of your RAM modules (rectangle with cmall black rectangles on it) located on the motherbarod is bad.
2. You have WAY too many USB devices atached to your system, and there aren't enough IRQ's to go around.
TRY THIS:
1. Remove all the RAM modules, and try booting with them one at a time. if none of them work Then (HOPEFULLY) it's not your ram. (if it Isn't the second one, it could mean the RAM slots on your motherboard are bad, and misreading, or all your RAM is shot.)
2. Remove one USB device at a time, starting with anything plugged into an external USB Hub.
And, as a future tip, never boot with any USB hubs, or external storage devices present, as they're known to cause issues with the boot process due to it's method of reading, and writing files to a drive.
What I mean by that, is that sometimes, if a removable drive's inserted upon boot, or while installing an operating system, it could have the boot files written to it, then when you take it out, you no longer boot, because you don't have the files to, so as a precaution, never have external drives or flash media inserted at boot.
