I'm guessing that you got an error saying that something else is using this device, therefore you cannot format it?
If that's the case, you could do a lot of stuff to find the process that's using it and shut it down, but what's a lot easier is to just reboot into safe mode and try it again.
If you have windows 7, type "msconfig" into the search bar when you click your start orb. Hit enter once it finds the program. Click on the "boot" tab, then check the "safe boot" check box. Click apply then ok and let it reboot. Now you're in safe mode and nothing should be in your way of formatting your flash stick. :)
To get out of safe mode, follow the above directions again and just uncheck "safe boot."
If the stick isn't being recognized by windows at all, like you can't even see it in explorer, then chances are it's not initialized. Let me know and I'll walk you through that process next if none of the above helped and this is the new problem.
