Hello.
Welcome to Fixya Community.
You need to restore it with iTunes, but you can't restore an iPod While its Locked With a password, well in order to Force it to Restore you shud put it on Recovery Mode.
Hold down the power and home keys down for about 10 seconds each while
plugged into iTunes. When the screen goes black, release the power
button but keep holding the home key until itunes says. We have
detected an itouch in recovery mode.
From there you can restore as normal via iTunes.
and that will reset you configuration including Your Password.

hold home for 5 seconds do not let go and put in your usb connecter and it should be in recovery mode and wanting to be conneected to itunes

ok what u have to do is go on to apple and either make a new account or type in ur email under the recover your account.

Sadly the ONLY way to get beyond the password with out having the code is to restore using itunes. Below I have posted a step by step on restoring an iPod touch.

Using the Restore function for your iPhone or iPod touch is part of standard troubleshooting procedure. Use the following steps to restore your iPhone or iPod touch:
Make sure you have the latest version of iTunes installed and running before attempting to update.
Connect your iPhone or iPod touch to your computer.
Select your iPhone or iPod touch when it appears in iTunes under Devices.
Select the Summary tab.
Select the Restore option.
When prompted to back up your iPhone or iPod touch's settings before restoring, select the Back Up option. If have just backed up the device, it is not necessary to create another.
Select the Restore option when iTunes prompts you (As long as you've backed up your device, you should not have to worry about restoring your phone).
Once the restore process has completed the iPhone or iPod touch restarts and displays the Apple logo while starting up
