The grinding noise is the zoom head trying to match the focal length of your lens. A brand new one should NOT grind. It should be silent. It sounds like you got the one that fell off the pallet during shipping. Exchange it for another one.

Typically, it means your batteries are low but I am sure that you know that already.
The next cause is a mechanical failure. The flash has capacitors that **** up the battery power until they have a full charge and the trigger the ready light. Therefore, if your batteries are good then it is likely that the capacitors are disconnected or have failed. Eitherway, you will most likely have to send it out to a Canon service center.
