I am unable to transfer

It keeps saying memory card
Are you sure that isn't "internal" memory card is full message?
Sometimes, when "internal
memory card is full" there is no more space in the camera's internal
memory. Your camera has 16 MB of internal memory. The number of pictures
you can store depends on the picture size setting you have selected on
your camera. Keep in mind that the
camera always uses internal memory, even if a card is installed (auto default).
If really, the problem is in the "SD memory card", I suggest make some backup all files and reformat the SD. Try formatting it in the camera, there should be a process in your owners manual for doing this; donw formatted SD in your computer, isn't good.

Please use lithium for consistent performance at the bottom of your camera, engraved at the battery door CRV3 (lithium) is at the top of the list it's the no. 1 recommended battery for Kodak cameras with ccd image sensor

I have kodak Easy Share
In any mode, press the MENU button. Use up/down to highlight Setup (three horizontal sliders) and press OK. Use up/down to highlight "Date Stamp" and press OK. Make your choice and press OK.

Sir, If your camera starts and the turns off then it obviously look like he fault in battery. Try to recharge fully your battery and then try to turn on again, If the problem still exist then change the battery.

Why is there a clicking
This clicking sound might be very simply a noise programmed into the camera to make when it turns on, or something wrong with the hardware. Just follow these steps to determine the problem.
- First of all, check if it coming from the speaker. It might just be an electronic sound
- If it is, you can go to menu/setup(or)settings/sounds
- The sound could also be the lens on the camera clicking open.
- Finally, if you determine none of these are the answer, then you're safest option to ensure your camera isn't broken is to return it/ask at the place of purchase.

If you are using Kodaks easyshare program then you can simply "drag & drop" the pictures onto your flash drive. You can also trying looking on your "C: drive" (hard drive) for your pictures. Normally Kodak Easyshare stores pictures at C:\Documents and Settings\All Users\Shared Documents\Shared Pictures\Kodak Pictures. Once you find your pictures all you need to do is select all the pictures you want to copy and paste them into your flash drive.
If the pictures are on your camera then connect your camera to the computer and then click on "My Computer" on your desktop or under the start menu (if you are using Windows). Then if a few seconds you should see a drive pop up that will say "Kodak*****", proceed to double click on that and keep clicking into the folders until you see your pictures. Once you see your pictures copy all of them. Once copied open up "My Computer" again and select your flash drive. Once inside your flash drive then right click in the window and select "paste". Your pictures should start copying over to your flash drive. Once the copying it complete you are the safe to remove your flash drive.
Note: I am assuming that you are using a Microsoft Windows operating system. If you are using MAC OS X then it is slightly different but similar.

You have no chance of finding out if it is the battery unless you either:
have the battery tested, find someone with a multimeter and some technical knowledge
or
test the battery in another camera
or
try a new battery
and
Yes you do need power in the battery to operate the lens.

Theres a constant ticking sound that continues
Hello - the noise is made from a camera sound chip - no mechanical parts to make the clicking sound.
There is a choice of shutter sounds - try turning the sound OFF.
