Will not re boot
First try reload your windows software. It sounds like your hard drive is bad if is not booting. I am sorry to tell you that. Another quick tip try go to your bios setup screen to see if it is detecting your hard drive.

make sure that the ribbon is in right red line on pin one on board and on hard drive. is the power switch on the right pins setting. and did you put the video plug on the right one. was it on board or on a card. was the power turned on montior and plugin power outlet. if the hard drive is bad than it will not start up. did you get any start up video like asrock sceen first? jim

As per my concern if u want to replace & ugrade all the parts then u take a NVIDIA motherboard only because , the fx5500 videocard is of NVIDIA geforce company only thats why it will suit the motherboard itself & also nvidia provides 256MB onboard videocard so if u keep fx5500 videocard free it will be all right

You may be able to just swap out the motherboard for a K7VM4 motherboard but some of the specs are different like the chipset and graphics etc.

As you can see the graphics and chipsets are different although the processor sockets are the same.
This could cause problems if you are going to plug the hard drive to another board but saying that is is possibe and has been done before.
This is a chance you take when you swap out a board for a different motherboard although i suspect that the transition should go smoothly.
A fairly old motherboard like K7VM4 or K7VM2 will not cost that much these days. You will find both motherboards for sale on eBay.

The on board LAN network is not work, System
1 - simple test: connect the pc to a switch using another piece of cable and look at the led on the switch corresponding to the cable - if it doesn't light up when you plug the cable in the pc then the onboard LAN is fried. Unrepairable, get a new PCI one.
2 - that board has a VIA KM 266 chipset that has only one channel of memory that can be either DDR266 or PC133 SDRAM.
3 long BIOS beep
check and make sure your keyboard is plugged in. 3 long beeps means no keyboard.

Have you check the video card, is it loose, not sitting right, beeps are either memory, video or a bad mobo.

Its hard to say try just using one stick and booting up if it reads all that then its a ram if it doesnt then it seems like it could be a bios or m/b issue
Audio not coming
tell me what type and model of Mother board u have, write it down, google that and driver download, for example if ur mother board is a VIA kr223b then google this VIAKR223B DRIVER DOWNLOAD, and thats all you do dear sir.
