SOURCE: 1995 Jeep Grand Cherokee Laredo Alarm system

Solution 1
1) Remove the driver door panel 2) Remove the lock 3) Remove the switch from the back of the lock 4) Pull the switch cord assembly to the bottom of the door cavity 5) Unplug and remove the switch assembly from the car 6) Either (a) short the female end of the plug, or (b) ground the striped wire to the car door.

Solution 2
Normally, you would insert the key in the drivers door, turn left, then right to disarm and reset it. If yours is malfunctioning, you can disable it for good by doing the following:

The FACTORY ALARM DISARM WIRE IS purple/yellow |-| in the driver kick panel area, at the black plug.
Once Located, splice into this wire with a simular guage wire, and put it to a solid chassis ground. This terminates the alarm functions entirely.

Solution 3
Go to the passenger side door and lock/unlock 2 or 3 times to deactivate the alarm switch in the door latch. If battery is weak/low it wont solve problem, must replace battery.also check for broken hood pin switch($5.00) as they are likely to be broken on a 94 veh. and when failed will cause security system to activate causing security light on dash and no start condition/lights flashing etc

There are switches on the door lock cylinders that are supposed to shut the alarm off when you use the key,but they go bad allot. you could try unlocking the passenger door first, since that one usually gets less use and is less likely to go bad. Otherwise you can disconnect the alarm module, it is located behind the glove box.

SOURCE: 1996 Grand Cherokee keyless entry problem

That remote should not be able to  be programmed by you, it needs to be programmed by the dealer using their computer.  I know that some later and earlier models can be programmed by the user, but I did some research on this as i have a 96 as well and it seems the 96 was a dealer computer thing.  If you in fact bought the remote from the dealer they should be willing to program it for FREE.  Otherwise I was given a $30 estimate for the programming.

SOURCE: how doyou disarm the factory alarm system in a

The security alarm system on the 1994 Jeep Cherokee arms itself on any normal exit from the vehicle, i.e. ignition off, open door, lock door with power door locks, close door. If the doors are locked with the key, it does not arm.
If the battery is disconnected, then reconnected, the alarm system will go into powerup alarm mode. The lights will flash, but the horn will not blow.
The alarms can be disarmed by a keyless vehicle remote or by unlocking either of the front doors or the read lift gate with the key. If the key method does not work with any of those three entrances, there is a problem either with the input to the alarm module or the module itself.
There is a switch in both front doors and the tailgate which is activated by manualy unlocking those doors. The alarms can be disabled by permanently grounding the wire going from either of those switches to the alarm module, but this will remove all theft protection.
The best thing to do is to find out why the system is going off in the first place. It could just be a glitch, a loose connection that can be fixed fairly easily and keep your theft protection intact.
