Had a similar problem with a hyundai coupe , this turned out to to be the door lock mechanism in the drivers door, so could be the place to start, as i would have thought that generally the power locking technology is the same universally

I have had this problem with my MY2000 S-Type.
The first thing is that, after opening your car using the key, a beeper sounds and you have approximately 10 seconds to turn on the ignition to cancel the alarm.
The front passenger door lock is likely failing (as mine did).
When my front passenger door was locked, my drivers door would unlock and then relock in about 2 seconds.
When my front passenger door was unlocked, my drivers door would lock and then unlock in about 2 seconds.
Luckily the front passenger door lock is the easiest to replace as a DIY job. Make sure to buy the correct model.
I had a rear door lock fail at the same time. Rear door locks do not do not cause the lock/unlock behavior. They are much more difficult to replace thought.

This does not sound like a fob fault - but a locking control module fault , either in the hardware or software of the unit. Get it checked at a Jaguar dealers. When unlocking using the key - as soon as the door is opened you should hear a chime sounding inside the car - this is a timer counting down to sounding the alarm. If you put your key in the ignition as soon as you open the door the alarm should not go off and the chime should stop. If it does not this again points to a fault in the locking controller.

I have a similar problem in my x type. Although if I press unlock button on the key first and then use the metalic key to unlock it dissables the alarm.
Also according to the manual if you unlock by the metalic key the car starts a beeping sound its I think 15-20 second timer within which you should put the key and start the ignition (don't need to start the engin) this will dissarm the alarm if not the alarm will go off in 15-20 second.

from the abbreviated words ya are using i am gonna assume the door is not being seen as closed to the fem module, so assuming the door is open it will unlock the door to keep ya from locking key in car. does dash show the door is ajar?, if so may need a new door ajar switch or agjusted striker.... any more info on the concern could help you diag, but please use word as apposed to YOUR abbreviations..... may be relocking while driving because the drive away feature of auto locking after the 7mph signal reached
