Stick or automatic? Either way, clutch or transmission cables out of adjustment or bad clutch/transmission most likely, have to bring it in to a transmission shop to be properly diagnosed.

Testimonial: "Automatic. I failed to mention that it is an intermittent issue that occurs when accelerating."

You accelerate in reverse? So at low speeds in reverse and all speeds in any other gear produce no "pots and pans" noise? If so, can you tell where the noise is coming from? Feel any vibration? Vibration could indicate CV joint or maybe the parking brake is catching. If the noise coming from the engine bay area then it's almost 100% likely to be the transmission reverse gear or shift cable out of whack. Sorry but you are going to have to bring it to a transmission shop most likely

SOURCE: BMW 2003 330Xi. LOUD intermittent

Is it associated with accelerating/decelerating, or bumps?
The earlier e46s were a bit prone to breaking the tops out of their shock towers and for cracking around the connection points where the differential carrier mounts attach to the body. This is usually the result of drifting or other rough use, but I imagine that a nasty pot hole could cause it as well.

2003 bmw 330xi wont start checked battery and battery is good. hear a clicking noise and that it. It does not try to start of turn over. sounds like that starter from what I'm used to hearing on other cars

The noise is coming from the starter solenoid. The plunger is acting but the Starter Solenoid Contacts are burnt. In some cases we replace the solenoid contacts and the plunger. All have 1/8" thick copper contacts.
The other options are, replace the solenoid, or the starter with a rebuild one.
