SOURCE: How do I program S Type Jaguar key fob Year 2000 Jag ?

Seperate key fobs only can be programmed in the following way.

Turn ignition on/off 8 x times (allow all functions to stabilise) after the 9th on - press a button on both remote fobs. then turn ign. off. use good remote to lock and then try new remote to unlock/lock. sometimes it works first time - sometimes you have to repeat actions. good luck.

SOURCE: Jag S-Type -intermitent fault where the remote fob does not work

This does not sound like a fob fault - but a locking control module fault , either in the hardware or software of the unit. Get it checked at a Jaguar dealers. When unlocking using the key - as soon as the door is opened you should hear a chime sounding inside the car - this is a timer counting down to sounding the alarm. If you put your key in the ignition as soon as you open the door the alarm should not go off and the chime should stop. If it does not this again points to a fault in the locking controller.
hope this helps - good luck.

Double chirp when trying to lock car from fob or key ? doors and boot all shut, why will it not set alarm and lock ?

this happened to my jag and i still havent managed to cure it ,its a computer fault i know but it will no doubt cost more to buy a new computer than the car is worth and it happened at the same time as one of the blower fans packed up,i rewired both in the end but the alarm still doesnt work or make the chirpy bleep that indicates that it has locked and set the alarm.
